These Terms of Service ("Terms") govern your access to and use of IRSDecode's website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Who we are
IRSDecode provides software tools that help users understand IRS notices and similar documents using automated analysis. We are not the IRS. The Service is not affiliated with, endorsed by, or sponsored by the Internal Revenue Service or any government agency.
Not legal, tax, or professional advice
Output from the Service is generated using artificial intelligence and is for informational purposes only. It is not legal advice, tax advice, accounting advice, or financial advice. AI output may be incomplete, inaccurate, or unsuitable for your situation. You are solely responsible for decisions you make and for consulting a qualified attorney, CPA, enrolled agent, or other licensed professional when appropriate. You may also contact the IRS directly using official channels.
Eligibility and accounts
You must be able to form a binding contract in your jurisdiction to use paid features. Where we offer sign-in, you are responsible for safeguarding your account credentials and for activity under your account.
Acceptable use
You agree not to:
- Use the Service in violation of law or third-party rights.
- Attempt to gain unauthorized access to our systems, other users, or vendors.
- Upload malware, scrape or overload the Service, or interfere with its operation.
- Misrepresent your identity or submit fraudulent documents or information.
- Reverse engineer or attempt to extract our models or non-public software except where law forbids this restriction.
Fees and payments
Certain features require payment. Payments are processed by Dodo Payments. Prices, taxes, and invoicing are handled according to Dodo Payments' checkout and policies. You authorize us and Dodo Payments to charge your selected payment method for purchases you confirm.
Intellectual property
The Service, including its design, text, graphics, logos, and software (except your content), is owned by IRSDecode or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for personal or internal business use as offered.
You retain rights to content you submit. You grant us a license to use, store, process, and display your content solely to provide and improve the Service and as described in our Privacy Policy.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IRSDECODE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE PROHIBITED BY LAW.
Indemnity
You will defend, indemnify, and hold harmless IRSDecode and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms.
Termination
We may suspend or terminate access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or harms the Service or others. Provisions that by their nature should survive will survive termination.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless a different governing law is required by your jurisdiction. Courts in Delaware (or another forum we specify in a future update) shall have exclusive jurisdiction, unless applicable law requires otherwise. You waive any right to participate in a class-action lawsuit or class-wide arbitration where such waiver is permitted.
Changes
We may modify these Terms at any time. We will post the updated Terms and update the "Last updated" date. Material changes may be communicated through the Service or by email where appropriate. Continued use after the effective date constitutes acceptance.
